Membership Referral Program Terms and Conditions

NO PURCHASE IS NECESSARY FOR ELIGIBLE MEMBERS TO PARTICPATE IN THIS ARCIS GOLF – MEMBERSHIP REFERRAL PROGRAM (THE “PROGRAM”) OR TO WIN AN AWARD. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. THE PROGRAM IS OPEN TO MEMBERS AT ELIGIBLE ARCIS GOLF CLUBS. AWARD WINNERS AND GUESTS MUST COMPLY WITH ALL APPLICABLE EVENT, VENUE, AND ACCOMMODATION POLICIES, WHICH MAY CHANGE AT ANY TIME WITHOUT NOTICE. THE PROGRAM IS VOID WHERE PROHIBITED OR RESTRICTED BY LAW. THE REFERRAL PERIOD FOR THE PROGRAM BEGINS JANUARY 26, 2026, AND ENDS MARCH 15, 2026.

1. OFFEROR/SPONSOR: The Program is offered and sponsored by Arcis Golf, 8343 Douglas Ave., Suite 200, Dallas, TX 75225 (“Arcis”).

2. ELIGIBILITY FOR PROGRAM: The Program is open to club members who are the primary members on the accounts at one of the following Arcis golf clubs: Champions Retreat (Evans, GA); The Club at Pradera (Parker, CO); The Club at Ruby Hill (Pleasanton, CA); The Club at Snoqualmie Ridge (Snoqualmie, WA); The Club at Weston Hills (Weston, FL); The Country Club of the South (Johns Creek, GA); Gentle Creek Country Club (Prosper, TX); The Golf Club at Chaparral Pines (Payson, AZ); Twin Creeks Country Club (Cedar Park, TX); The Manor Golf & Country Club (Milton, GA); The Pinery Country Club (Parker, CO); The Oaks Club at Valencia (Valencia CA); The Rim Golf Club (Payson, AZ); The Stone Canyon Club (Oro Valley, AZ); The Club at Tartan Fields (Dublin, OH); Tatum Ranch Golf Club (Cave Creek, AZ); and The Woodlands Country Club (The Woodlands, TX); TPC River’s Bend (Mainville, OH); Valencia Country Club (Valencia, CA) (each an “Eligible Club”). Employees, officers, and board members of Arcis, and immediate family members and those living in the same household of the foregoing, are not eligible to participate in the Program. Arcis reserves the right to verify eligibility qualifications for any participant or potential winner.

3. AGREEMENT TO TERMS AND CONDITIONS: By participating in the Program, you represent and warrant that you meet all eligibility requirements for the Program, you agree to be fully and unconditionally bound by these Terms and Conditions, and you agree to accept the decisions of Arcis with respect to all aspects of the Program, which are final and binding in all matters. The Program is subject to all applicable federal, state, and local laws and regulations.

4. REFERRAL PERIOD: Your opportunity to participate in the Program begins on January 26, 2026, at 12:01 AM Central Time, and ends on March 15, 2026, at 11:59 PM CST (the “Referral Period”).

5. TO PARTICIPATE IN PROGRAM: Eligible referring members (each a “Referring Member”) can participate in the Program by referring, during the Referral Period, an
individual as a potential new full golf or full golf equivalent member who will be the primary member on the account at the Referring Member’s Eligible Club (each a “Potential New Member”). For members of The Oaks at Valencia and Valencia Country Club only referrals of new Preserve Members shall count towards eligibility for this award. Referrals must be made using the referral process in place at the Member’s Eligible Club. If the Potential New Member referred by the Referring Member becomes a new member at the Referring Member’s Eligible Club and pays the initiation fee, during the Referral Period, then that new member, subject to Arcis’s discretion, will be counted as a Qualifying Referral for the applicable Referring Member. A Potential New Member may identify only one (1) Referring Member on his/her application for the Eligible Club, and a Potential New Member may be counted as a Qualifying Referral for only one (1) Referring Member. Arcis will determine, in its sole discretion, which referrals are Qualifying Referrals and which Qualifying Referrals are credited to which Referring Members.

6. SELECTION AND NOTIFICATION OF POTENTIAL REFERRAL AWARD WINNERS; CHANCES OF WINNING REFERRAL AWARDS: The seven (7) Referring Members who refer the most Qualifying Referrals during the Referral Period will each potentially be eligible to win one (1) of seven (7) “Referral Awards” corresponding to the Referring Member’s rank in the top seven (7) of Qualifying Referrals, as follows: the Referring Member who made the most Qualifying Referrals will potentially win the 1st Place Award; the Referring Member who made the second most Qualifying Referrals will potentially win the 2nd Place Award; the Referring Member who made the third most Qualifying Referrals will potentially win the 3rd Place Award; the Referring Member who made the fourth most Qualifying Referrals will potentially win the 4th Place Award; the Referring Member who made the fifth most Qualifying Referrals will potentially win the 5th Place Award; the Referring Member who made the sixth most Qualifying Referrals will potentially win the 6th Place Award; the Referring Member who made the seventh most Qualifying Referrals will potentially win the 7th Place Award. If there are ties for any of the seven (7) Referral Award levels, ties will be broken as follows: First tiebreaker: the Referring Member who has the longest membership tenure (in number of days) at his/her Eligible Club will win the award level. Second tiebreaker (if necessary): the Referring Member whose Qualifying Referrals result in the most total initiation fees paid during the Referral Period (in dollars) at his/her Eligible Club will win the award level. Arcis will attempt notify each potential award winner on or about March 23, 2026 via email using the email address provided in the Referring Member’s email, and each potential award winner will have until March 30, 2026 to confirm that he/she wishes to be considered a potential award winner by responding to the notification email and properly answering any questions and completing any forms or documents. To be an award winner, a Referring Member must be and remain a member in good standing at his/her Eligible Club during the Referral Period and also through March 30, 2026. Chances of winning any Referral Award depend on the number of Qualifying Referrals that Referring Members submit during the Referral Period and potentially on Referring Members’ tenure at their Eligible Clubs and the total initiation fees paid by Qualifying Referrals during the Referral Period. If a potential award winner cannot be located, does not timely and properly respond to the
notification email, or is deceased, that potential award winner’s award may be forfeited and an alternate award winner may be selected, or may not be selected, in Arcis’s sole discretion. Arcis reserves the right to validate information provided on any referrals and related materials before making or confirming any Referral Award.

7. AWARDS; AWARD WINNERS’ RESPONSIBILITIES: The seven (7) Referral Awards consist of the following: a two (2) night stay for the award winner and a guest at accommodations, which may include shared houses or cottages, in or near Evans, GA or Augusta, GA, with the dates determined by Arcis and by the award level; two (2) tickets for the award winner and guest to one (1) day of the 2026 Masters Tournament, with the day determined by Arcis and by the award level, as specified below; transportation for the award winner and guest between the accommodations and the venue for the awarded day at the 2026 Masters Tournament; one (1) round of golf (18 holes, may include caddy fee and rental clubs) for the award winner and guest at Champions Retreat, with the dates determined by Arcis and by the award level; and food for the award winner and guest via wristband access to the Champions Pavilion buffet (not including beverages or other dining options) while the award winner and guest are on the Champions Retreat property. The specific days for the seven (7) award winners and guests are as follows:
1st Place: Arrive 4/9/26; attend Masters 4/10/26; play golf/depart 4/11/26
2nd Place: Arrive 4/8/26; attend Masters 4/9/26; play golf/depart 4/10/26
3rd Place: Arrive 4/10/26; attend Masters 4/11/26; play golf/depart 4/12/26
4th Place: Arrive 4/11/26; attend Masters 4/12/26; play golf/depart 4/13/26
5th Place: Arrive 4/7/26; attend Masters 4/8/26; play golf/depart 4/9/26
6th Place: Arrive 4/6/26; attend Masters 4/7/26; play golf/depart 4/8/26
7th Place: Arrive 4/5/26; attend Masters 4/6/26; play golf/depart 4/7/26
Award winners are solely responsible for any taxes, costs, and other expenses associated with the receipt, enjoyment, and use any awards by themselves and their guests, including but not limited to all travel expenses. Any items and expenses not specifically identified above, including without limitation, travel expenses, airfare, airline fees, ground transportation, lodging amenities, fees, gratuities, personal expenses, and passport fees, are the sole responsibility of the award winners. Dates and locations of the Masters Tournament are subject to change and are not the responsibility of Arcis. If the Masters Tournament or any part thereof is canceled or rescheduled for any reason, Arcis’s only obligation is to award, or not award, other elements of the awards, in Arcis’s sole discretion, with no alternative compensation to any award winners or guests. Masters Tournament tickets and admissions, accommodations, and Champions Retreat tickets, admissions, and activities, are subject to various terms and conditions specified by the events and venues. Award winners and guests must comply with all event and venue rules, including but not limited to execution of any releases. Failure to do so may result in forfeiture of tickets and admissions and/or dismissals from events, venues, and/or accommodations, including but not limited to the Masters Tournament and Champions Retreat. If any award or any portion of any Referral Award cannot be provided for any reason, Arcis reserves the right, in its sole discretion, to substitute, or not to substitute, an award of approximately similar value. Referral Awards may not be transferred except
with the prior, specific authorization of Arcis, which Arcis may provide or withhold in Arcis’s sole discretion. Award winners and/or guests may receive IRS Form 1099s or other tax forms for the value of the awards. Arcis assumes no responsibility or liability for the receipt or use of any Referral Awards. The Program, and any awards provided pursuant to the Program, will not affect any other incentive programs in effect for Referring Members at their Eligible Clubs.

8. TRAVEL AND EVENT ATTENDANCE: Award winners and guests are responsible for staying informed about, and abiding by, all local laws and all travel, event, venue, and accommodation rules and policies, including but not limited to those of the Masters Tournament and Champions Retreat. Arcis has no obligation or responsibility to any award winners or guests who are denied entry into or are removed from any event, venue, or accommodation.

9. OTHER CONDITIONS OF PROGRAM: All referrals and related materials become the sole property of Arcis and will not be acknowledged or returned. All referrals and related materials are subject to verification. Arcis assumes no responsibility for referrals or related materials that are lost, late, misdirected, stolen, illegible, undelivered, garbled, damaged, mutilated, incomplete, forged, falsified, altered, or tampered with (and any such referrals and entries are ineligible), or for any computer, online, telephone, or technical malfunctions that may occur. In the event of a dispute regarding the identity of Referring Member submitting a referral or related materials, the referral or related materials will be considered to be from the Referring Member identified therein, in Arcis’s sole judgment and discretion.

10. GENERAL CAUTION: If for any reason the Program is not capable of running or being completed as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other cause which corrupts or affects the administration, security, fairness, integrity, or proper conduct of the Program, Arcis reserves the right, in its sole discretion, to disqualify any participant who is responsible or who tampers with the Program, and to modify, cancel, or terminate the Program and select potential award winners from all legitimate, eligible referrals received prior to cancellation or termination. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROGRAM MAY VIOLATE CRIMINAL AND CIVIL LAWS. The Program is subject to all applicable laws and regulations. Void wherever prohibited or restricted by law. Participants agree to abide by these Terms and Conditions and the decisions of Arcis, which are final.

11. RELEASE: You agree, on your own behalf, and on behalf of your guests, heirs, executors, administrators, legal representatives, successors, and assigns (the “Releasing Parties”) to release, defend, indemnify, and hold harmless Arcis, those working on Arcis’s behalf, and all other businesses and individuals involved in the Program, as well as each of their respective employees, officers, directors, agents, representatives, successors, and assigns (the “Released Parties”) from any and all actions, causes of action, suits, debts, dues, sums of money, accounts, reckonings, covenants, contracts,
controversies, agreements, promises, trespasses, lost profits, indirect or direct damages, consequential damages, incidental damages, punitive or exemplary damages, including for injury and death, judgments, executions, claims, and demands whatsoever, in law, admiralty, or equity, whether known or unknown, foreseen or unforeseen, against the Released Parties which any one or more of the Releasing Parties ever had, now have, or hereafter can, shall, or may have, whether known or unknown, asserted or non-asserted, which may arise out of or relate to your or your guest’s participation in the Program or the awarding, acceptance, use, or misuse of an award, including travel to and attendance at any venue or event.

12. DISCLAIMER OF LIABILITY: The Released Parties are not be responsible for (a) any typographical or other errors in connection with the Program; (b) any technical problems in connection with the transmission or receipt of referrals or related materials, including faulty electronic data transmission, traffic congestion on the Internet or on websites, hardware or software error, equipment failure or malfunction, or other online communications problems; (c) any lost, late, misdirected, damaged, illegible, or incomplete referrals or related materials, or postage due mail; (d) any error, omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of referrals or related materials, or for technical, network, telephone equipment, electronic, computer, mobile device, hardware, or software malfunctions of any kind, or inaccurate transmission of or failure to receive referrals or related materials on account of technical problems or traffic congestion on the Internet or at any website or any combination thereof; (e) any injury or damage to any participant’s or other person’s computer or mobile device related to or resulting from participation in the Program; or (f) the failure of any third party or other party to comply with the Terms and Conditions or the proper administration of the Program. The Released Parties also will not be liable for any injury, including illness, death, loss, or damage of any kind, caused of claimed to be caused by participation in the Program or from the acceptance, use, or redemption of any Referral Award, including travelling to and attendance at any event or venue.

13. FORCE MAJEURE: In the event Arcis or its agents are prevented from continuing with the Program as contemplated herein by any event beyond their control, including but not limited to fire, flood, earthquake, explosion, pandemic, virus, quarantine, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared), or any federal, state, or local law, order, or regulation, or order of any court, Arcis shall have the right to modify, suspend, extend, or terminate the Program, and provide or not provide all or any part of any Referral Awards, in Arcis’s sole discretion. IF THE MASTERS TOURNAMENT OR ANY PORTION THEREOF IS CANCELED OR RESCHEDULED FOR ANY REASON, ARCIS’S ONLY OBLIGATION IS TO AWARD, OR NOT AWARD, OTHER ELEMENTS OF THE REFERRAL AWARDS, IN ARCIS’S SOLE DISCRETION, WITH NO ALTERNATIVE COMPENSATION TO ANY AWARD WINNERS OR GUESTS.

14. LAW/DISPUTE RESOLUTION: The Program shall be governed by and interpreted
under the laws of the State of Texas, without regard to any conflicts of laws provisions that may require application of the laws of another jurisdiction. All disputes, claims, and causes of action arising out of or in connection with the Program shall be resolved individually, without resort to any form of class action. Any action or litigation concerning the Program shall take place exclusively in the federal or state courts serving Dallas County, Texas, and you expressly consent to the jurisdiction of, and venue in, such courts, and you waive all defenses of lack of jurisdiction and inconvenient forum with respect to such courts. You agree to service of process by mail or any method acceptable under the laws of the State of Texas. ANY CLAIMS, JUDGMENTS AND/OR AWARDS SHALL BE LIMITED TO YOUR ACTUAL OUT-OF-POCKET COSTS ASSOCIATED WITH PARTICIPATING IN THE PROGRAM. YOU HEREBY WAIVE ANY RIGHTS OR CLAIMS TO ATTORNEY’S FEES OR TO INDIRECT, SPECIAL, PUNITIVE, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, WHETHER FORESEEABLE OR NOT AND WHETHER BASED ON NEGLIGENCE OR OTHERWISE.
15. PUBLICITY: Arcis reserves the right to publish the names, likenesses, images, and photographs of all participants, Referring Members, and award winners, but Arcis has no obligation to do any of the foregoing. All participants, Referring Members, and award winners agree to the use of their names, likenesses, images, and photographs, within and outside of Arcis, in relation to the Program.
